What rights does C4 acquire under its Commissioning Agreement?
C4 acquires an exclusive extendable licence in the Core Rights.

How does C4 define its Core Rights?
The Core Rights are listed in Column 1 and Column 3 of Schedule 1 in the Commissioning Agreement. The definitions for each right can be found in the General Terms which can also be found in the Commissioning Agreement.

What is the licence period of C4's Core Rights?
The licence period of C4's Core Rights commences upon signature of the Core Commissioning Agreement and expires 5 years from the earlier of technical acceptance or 3 months from delivery of all the programmes. Details of C4's rights to extend the licence period can be found under Clause 20 of the General Terms.

When can the Core Secondary Rights be exploited in the UK and Republic of Ireland during the licence period?
The Core Secondary Rights can only be exploited during the licence period once C4 and the Production Company have agreed their exploitation.

How does C4 define its Core Secondary Rights?

What is the split of Net Receipts from exploitation of the Core and Secondary Rights?
The split of Net Receipts from the Core Rights during the licence period and any extension is 50% to C4 and 50% to the Production Company. Thereafter it is 15% to C4 and 85% to the Production Company.

What's the difference between a programme being 'cleared' and 'clearable'?
'Cleared' means agreed and paid for within the budget/price to C4.

'Clearable' means the rights can be acquired in the future (as agreed with the rights holder) but have not been paid for within the budget/price to C4.

Who has Distribution Rights?
Please refer to Section 3 of the Code of Practice for full details.

Who clears the programme for distribution?
Clearance of the programme for distribution is the responsibility of the Producer. However, companies such as C4 International offer a full clearance service.
